End User License Agreement (EULA)

Effective Date: September 2022

This End User License Agreement (“Agreement”) is between FDMS Holdings, LLC (“Licensor”) and you (“Licensee”) and governs your use of the software application FDMS (“Software”).

1. Grant of License

Licensor grants Licensee a non-exclusive, non-transferable, revocable license to install and use the Software on a single device for personal or internal business purposes, subject to the terms of this Agreement.

2. Restrictions

Licensee shall not:

  • Copy, modify, or create derivative works of the Software.
  • Distribute, sell, or transfer the Software to any third party.
  • Reverse engineer, decompile, or disassemble the Software.
  • Use the Software for any unlawful purpose.

3. Ownership

The Software is licensed, not sold. Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights.

4. Termination

This Agreement will terminate automatically if Licensee fails to comply with any of its terms. Upon termination, Licensee must cease all use of the Software and destroy all copies in their possession.

5. Warranty Disclaimer

The Software is provided “as is” without warranty of any kind, either express or implied. Licensor disclaims all warranties, including but not limited to merchantability and fitness for a particular purpose.

6. Limitation of Liability

In no event shall Licensor be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

7. Indemnification

Licensee agrees to indemnify and hold Licensor harmless from any claims, losses, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of Licensee’s use of the Software.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Texas, USA.

10. Acceptance

By installing or using the Software, Licensee acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
